Acceptance of Terms
By accessing and using the services provided by truegridprois S.A. (registration number 741258963, VAT number PT743698524), located at Avenida da República 57, 4056-408 Porto, Portugal, you agree to be bound by these Terms of Service. These terms apply to all users of our spa financial management services, website visitors, and anyone who accesses or uses our services in any manner. If you do not agree to these terms, you may not use our services.
Description of Services
truegridprois provides professional spa financial management services, including but not limited to financial planning and analysis, revenue management, operational cost control, and business analytics and reporting. Our services are designed specifically for spa and beauty businesses seeking to optimise their financial performance and operational efficiency. The specific services provided to each client will be outlined in individual service agreements.
User Obligations
As a user of our services, you agree to provide accurate, current, and complete information as required for the provision of our services. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You agree to use our services only for lawful purposes and in accordance with these terms. You must not use our services in any way that could damage, disable, overburden, or impair our systems or interfere with any other party's use of our services.
Payment Terms
Payment terms for our services will be specified in individual service agreements. Unless otherwise agreed in writing, payments are due within 30 days of invoice date. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend or terminate services for non-payment after appropriate notice.
Intellectual Property
All content, materials, methodologies, reports, analyses, and other intellectual property created or provided by truegridprois remain our exclusive property. This includes but is not limited to proprietary financial models, analytical frameworks, software tools, and written reports. You are granted a limited, non-exclusive, non-transferable licence to use our deliverables solely for your internal business purposes. You may not reproduce, distribute, modify, or create derivative works from our intellectual property without express written permission.
Confidentiality
We understand that our services involve access to sensitive financial and business information. We maintain strict confidentiality regarding all client information and will not disclose such information to third parties except as required by law or with your express written consent. Detailed confidentiality provisions will be included in individual service agreements. You also agree to maintain confidentiality regarding any proprietary methods, processes, or information disclosed by truegridprois.
Limitation of Liability
To the maximum extent permitted by law, truegridprois shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or relating to our services. Our total liability for any claims arising from our services shall not exceed the total amount paid by you for services during the twelve months preceding the claim. This limitation applies regardless of the theory of liability, whether based in contract, tort, negligence, strict liability, or otherwise.
Professional Standards
Our services are provided in accordance with generally accepted professional standards and practices in the financial consulting industry. However, our advice and recommendations are based on the information provided by you and market conditions at the time of analysis. We cannot guarantee specific financial results or outcomes from the implementation of our recommendations. Business decisions remain your responsibility, and you should consider our advice alongside other factors relevant to your specific situation.
Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of Portugal. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Porto, Portugal. If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Termination
Either party may terminate the service relationship with appropriate notice as specified in individual service agreements. Upon termination, you remain responsible for all fees incurred up to the termination date. We will return or destroy confidential information as specified in the service agreement, except where retention is required by law or for legitimate business purposes. Provisions regarding intellectual property, confidentiality, limitation of liability, and governing law shall survive termination.
Modifications to Terms
We reserve the right to modify these Terms of Service at any time. Material changes will be communicated to active clients through appropriate notice. Continued use of our services after such modifications constitutes acceptance of the updated terms. For significant changes, we may require explicit acceptance of new terms before continuing to provide services.
